These Terms of Service constitute a legally binding agreement between you ("you" or "your") and PumpList ("PumpList", "we", "our" or "us"). The Terms govern your use of the PumpList Services made available to you on or through the Platform or otherwise. PumpList Services may be provided by PumpList or any PumpList Affiliate.

By accessing the PumpList Platform and/or using the PumpList Services, you agree that you have read, understood and accepted these Terms, together with any additional documents. You acknowledge and agree that you will be bound by and will comply with these Terms, as updated and amended from time to time.

If you do not understand and accept these Terms in their entirety, you should not use the PumpList Platform.

IMPORTANT DISCLAIMER

PumpList is a marketing agency that provides promotional services for digital assets created on pump.fun. We do NOT guarantee that our marketing efforts will result in purchases, investments, or interest in any promoted digital assets. Our services are limited to exposure and promotional activities only. Any investment decisions made by viewers of our promotional content are entirely at their own risk and discretion.

RISK WARNING

The value of Digital Assets can fluctuate significantly and there is a material risk of economic loss when buying, selling, holding or investing in Digital Assets. Marketing and promotional activities do not guarantee price appreciation, trading volume, or market interest. You should therefore consider whether trading or holding Digital Assets is suitable for you taking into account your personal circumstances, financial or otherwise.

Please ensure that you fully understand the risks involved before investing in any Digital Assets promoted through the PumpList Platform and Services.

You acknowledge that we are not your broker, intermediary, agent, financial advisor, or investment advisor and we have no fiduciary relationship or obligation to you in connection with any activities you undertake when viewing our promotional content or using the PumpList Platform. We do not and are not providing any investment or financial advice and no communication or information that we provide to you is intended to be, or should be construed as, advice of any kind.

You are responsible for determining whether any investment, investment strategy or related transaction is appropriate for you in light of your personal investment objectives, financial circumstances and risk tolerance and you are responsible for any associated loss or liability. We do not recommend that any Digital Asset should be bought, earned, sold or held by you. Before making the decision to buy, sell or hold any Digital Asset, you should conduct your own due diligence and consult your financial advisor. We are not responsible for the decisions you make to buy, earn, sell or hold Digital Assets based on the information or promotional content provided by us, including any losses you incur arising from those decisions.

1. Introduction

1.1. PumpList is a marketing agency designed to provide promotional and marketing services for Digital Assets created on the pump.fun platform. The PumpList group provides users with marketing services to increase visibility and exposure for their Digital Assets.

1.2. Independence from pump.fun: PumpList is an independent marketing agency and is NOT affiliated with, endorsed by, sponsored by, or connected to pump.fun or any of its affiliates. We are a separate third-party service provider that offers marketing services for projects that may be created on the pump.fun platform. Any reference to pump.fun is solely to describe the type of digital assets we may promote and does not imply any business relationship, partnership, or affiliation with pump.fun.

1.3. By using the PumpList Platform you are entering into a legally binding agreement with us for marketing services only. These Terms will govern your use of the PumpList Platform and our marketing services.

1.4. You must read these Terms, together with the documents referenced in the Terms, carefully and let us know if you do not understand anything.

1.5. You acknowledge that you will be bound by, and agree that you will comply with, any relevant additional terms and conditions that apply to your use of the PumpList Platform.

4. Eligibility

4.1. To be eligible to use the PumpList Platform, you must:

• a. be an individual, corporation, legal person, entity or other organisation with the full power, authority and capacity to (i) access and use the PumpList Platform; and (ii) enter into and comply with your obligations under these Terms;
• b. if you act as an employee or agent of a legal entity, and enter into these Terms on their behalf, you must be duly authorised to act on behalf of and bind such legal entity for the purposes of entering into these Terms;
• c. not be located, incorporated, otherwise established in, or resident of, or have business operations in:
• • i. a jurisdiction where it would be illegal under Applicable Law for you access or use the PumpList Platform, or cause us or any third party to contravene any Applicable Law; or
  • ii. a country listed in our List of Prohibited Countries.

4.2. We may amend our eligibility criteria at any time at our sole discretion. Where possible, we will give you notice in advance of the change.

5.3. Clients acknowledge that the success of marketing campaigns depends partly on the quality, utility, and market appeal of their Digital Assets, factors which are outside of PumpList's control.

6. Fees and Payment Terms

6.1. Fees for use of the PumpList Platform and marketing services can be found on our pricing page or will be provided in individual service agreements.

6.2. You agree to pay all applicable fees in connection with your use of the PumpList Platform and marketing services as agreed upon in your service contract.

6.3. Payment terms and methods will be specified in individual service agreements. Generally, payment is required before commencement of marketing services.

6.4. We may adjust our fees from time to time with appropriate notice to existing clients.

6.5. Non-Refundable Services: All "King of the List" listings and "Boosts" are non-refundable once purchased and activated. This includes but is not limited to premium placement services, featured listings, promotional boosts, and any enhanced visibility services. Due to the immediate nature of these marketing services and their impact on promotional campaigns, no refunds will be provided regardless of campaign performance or results.

12. Amendment of Terms

13. Dispute Resolution

13.1. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with applicable arbitration rules.

"Applicable Law" means all relevant statutes, laws, regulations, and legal requirements applicable to the provision and use of marketing services.

"Digital Assets" means digital representations of value including cryptocurrencies, tokens, and other blockchain-based assets created on the pump.fun platform.

"List of Prohibited Countries" means countries or jurisdictions we have deemed high risk or where our services cannot be legally provided.

"Marketing Services" means the promotional and marketing activities provided by PumpList as described in individual service agreements.

"Platform" means the PumpList website, applications, and related digital infrastructure.

"PumpList Affiliates" means any entities officially affiliated with or controlled by PumpList.

Purpose: To ensure all marketing content created and distributed by PumpList adheres to legal standards, ethical guidelines, and platform policies while maintaining transparency and protecting both our clients and content viewers.

Prohibited Content

Marketing content containing any of the following is prohibited and may result in immediate termination of services:

• False Claims: Guarantees of investment returns, price predictions, or assured profits
• Market Manipulation: Content designed to artificially inflate token prices or trading volumes
• Illegal Activities: Promotion of unregistered securities or violation of financial regulations
• Misleading Information: False statements about token utility, partnerships, or technical capabilities
• Harassment: Targeting or attacking competitors, individuals, or communities
• Copyright Violations: Unauthorized use of protected content, images, or intellectual property
• Spam Content: Repetitive, low-quality, or irrelevant promotional materials

Content Standards

All marketing content must include appropriate disclaimers stating that the content is promotional in nature and that viewers should conduct their own research before making investment decisions. PumpList reserves the right to review and approve all marketing materials before distribution.

Enforcement

Violation of this policy may result in termination of marketing services and client accounts. This policy is enforced at the sole discretion of PumpList. Content determined to violate these standards will be removed, and clients may be subject to additional penalties including refusal of future services.

Client Responsibilities

• Provide accurate and truthful information about their Digital Assets
• Ensure compliance with all applicable securities and marketing laws
• Review and approve all marketing content before publication
• Disclose any material changes to their projects during active campaigns

Appeals Process

Clients who believe their content has been incorrectly flagged may appeal by contacting PumpList support. However, PumpList retains ultimate discretion in determining content compliance with this policy.
